Terms of Use

SkillEyez is a technology consulting and software delivery company headquartered in Dover, Delaware. We provide AI-augmented software development, quality engineering, business analysis and discovery, automation and AI integration, and architecture and strategy services to startups and growing businesses.

By accessing or using the Site, submitting a contact or inquiry form, or entering into a Statement of Work with SkillEyez, you confirm that you are at least 18 years of age (or the age of majority in your jurisdiction), have authority to bind yourself or your organization, and accept these Terms in full.

• AI-Augmented Development — End-to-end product and feature development leveraging AI-assisted workflows.
• Quality Engineering — Automated and manual QA, test strategy design, and CI/CD pipeline integration.
• Business Analysis & Discovery — Requirements gathering, process mapping, and digital transformation planning.
• Automation & AI Integration — Building agentic workflows, AI model integrations, and intelligent process automation.
• Architecture & Strategy — Cloud architecture, system design, technical roadmaps, and CTO advisory.

All professional services are governed by a separate Statement of Work or Master Services Agreement, which takes precedence over these Terms in case of conflict.

All content on the Site — including text, graphics, logos, images, and software — is owned by or licensed to SkillEyez and is protected by applicable intellectual property laws. You may not reproduce, redistribute, modify, or create derivative works without prior written consent.

Ownership of deliverables is as agreed in the applicable Statement of Work. SkillEyez retains ownership of all proprietary tools, frameworks, methodologies, templates, and reusable components used in engagements, and grants the Client a non-exclusive license to use the deliverables for their intended purpose.

SkillEyez employs AI-assisted tools and large language models as part of our delivery workflows. All AI-generated outputs are reviewed, validated, and refined by qualified professionals before delivery. We make no warranty that AI-generated content is free from errors or suitable for any particular regulatory or compliance requirement. Clients are responsible for reviewing all deliverables prior to deployment.

Both parties agree to hold in strict confidence any proprietary or non-public information disclosed during or in connection with a service engagement. Neither party shall disclose such information to third parties without prior written consent, except as required by law. Confidentiality obligations survive termination for a period of three (3) years, unless a separate NDA specifies otherwise.

You agree not to use the Site to:

• Engage in any unlawful, fraudulent, or deceptive activity.
• Harvest or collect personal data of other users or Site visitors.
• Transmit viruses, malware, or other harmful code.
• Attempt unauthorized access to our systems, servers, or networks.
• Post or transmit unsolicited commercial communications (spam).
• Impersonate SkillEyez or any of its employees or representatives.
• Scrape, crawl, or index any portion of the Site without our express written permission.

We reserve the right to restrict or terminate access to the Site for any user who violates these conditions.

Information presented on the Site is for general informational purposes only and does not constitute professional legal, financial, or technical advice.

You agree to indemnify, defend, and hold harmless SkillEyez and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your use of the Site in violation of any law or third-party rights; or (c) any material you submit or transmit through the Site.

The Site may contain links to third-party websites provided for your convenience only. SkillEyez has no control over the content of those sites and accepts no responsibility for them or for any loss or damage that may arise from your use of them.

We reserve the right to suspend or terminate your access to the Site at any time, without notice, for conduct that violates these Terms or is otherwise harmful to SkillEyez, other users, or third parties. Termination of website access does not affect any ongoing service engagement governed by a separate agreement.

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of law provisions. Disputes shall first be addressed through 30-day good-faith negotiation; unresolved disputes proceed to binding AAA arbitration, except either party may seek equitable relief in court to prevent irreparable harm.

If any provision is found unenforceable, the remaining provisions continue in full force and effect. These Terms, together with any applicable SOW, MSA, or NDA, constitute the entire agreement between you and SkillEyez regarding the subject matter herein.

We may update these Terms periodically. Material changes will be reflected in a revised "Effective Date." Your continued use of the Site after changes are posted constitutes your acceptance of the updated Terms.
